Kore78 Technology Ltd ("Kore78", "we", "us", or "our") provides its services (CBA (Core Banking Application) and HRMS (HRKore) (the "Products") (collectively, the "Services") offered through our website located at https://www.kore78.com/ (the "Site" or "Website") or mobile apps (collectively the "Platforms" or "Our Platforms" or "Kore78's Platforms") (as defined below).
These Terms of Use ("Terms") form a legally binding agreement between you and Kore78 governing your access to and use of the Services.
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES YOU AGREE TO BE BOUND BY THESE TERMS (AND ANY ADDITIONAL TERMS AND POLICIES INCORPORATED HEREIN).
Introduction
Kore78 operates the Kore78's Platform, a digital enterprise solution that provides businesses and financial institutions with secure, cloud-based systems for core banking and human resource management. Through our Core Banking Application (CBA) and HRKore (Human Resource Management Suite), we enable organizations to manage financial operations, employee records, payroll, and performance processes efficiently and in compliance with regulatory standards.
Kore78 provides enterprise software solutions including:
CBA (Core Banking Application) — a digital banking infrastructure enabling deposits, withdrawals, general ledger (GL) management, loan processing, transaction posting, reconciliation, settlement and financial reporting. CBA is designed to be integrated with banks', financial institutions channels and payment rails and may be offered as on-premises software, hosted software-as-a-service (SaaS), or hybrid deployments as agreed in an applicable contract.
HRMS (HRKore) — a human resource management suite for employee records, payroll processing, leave & attendance management, performance management, and related HR workflows. HRKore may be offered as SaaS or on-premises and integrates with payroll/payment providers and identity/authentication systems where applicable.
These Terms apply to all users of the Platforms including prospective customers, administrators, end users, and any person or entity that accesses or uses the Services ("you", "your", or "User"). Where you have entered into a separate written agreement with Kore78 (for example, a Master Services Agreement, subscription order form, or license agreement), the terms of that written agreement will govern to the extent of any conflict; otherwise these Terms apply.
Your access to certain features or Products may be subject to additional subscription, licensing, service-level, or professional services terms which will be posted on the Site or provided in your contract and are hereby incorporated into these Terms.
Definition
- "Account"
- Any Kore78 user account created to access the Services.
- "Customer"
- An entity that contracts with Kore78 for one or more Products.
- "Administrator"
- A User designated by the Customer with administrative rights over an Account.
- "Customer Data"
- Data, records, content or information input to the Service by or on behalf of the Customer or its Users (excluding Kore78's Confidential Information and Kore78 Provided Data).
- "Kore78 Provided Data"
- Example data, templates, or documentation provided by Kore78.
- "Confidential Information"
- Has the meaning set out in the Confidentiality section.
Modifications to Terms of Service
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do modify these Terms of Service, depending on the nature of the change, we will notify you, either through the Site, in an email notification, or through other reasonable means as required by applicable law. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service. In addition, when using certain Services, you will be subject to any additional terms applicable to such Services that may be posted on the Service from time to time.
Access and Use of the Site
Use of Site
You may only use the Sites for legitimate purposes and shall not use the Sites to make any speculation or false or fraudulent representations, including but not limited to speculative, false or fraudulent reservations or reservations in anticipation of demand. You may not use any "robot," "spider," or other automatic devices on any program or algorithm or methodology having similar processes or functionality, or to monitor or copy any web pages, data or content found on the Sites, in any case without the prior written consent of Kore78.
You must have legal capacity to contract. If using the Services on behalf of an entity, you represent you have authority to bind that entity.
Prohibited Use
You are solely responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials ("content") that you upload, post, publish or display (hereinafter, "upload") or email or otherwise use via the Site. To use the Service, you must agree to not:
- post, transmit, link to, or otherwise distribute any information constituting or encouraging conduct that would constitute a criminal offense or give rise to civil liability, or otherwise use the Sites or any of the Services in a manner which is contrary to law or would serve to restrict or inhibit any other user from using or enjoying the Sites, the Services or the Internet;
- defame, abuse, stalk, harass, threaten or otherwise violate the legal rights of others, including, without limitation, rights relating to privacy and publicity;
- post, transmit, link to, or otherwise distribute any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information;
- post, transmit, link to, or otherwise distribute any information or software which contains a virus, cancelbot, trojan horse, worm or other harmful or disruptive component;
- upload, post, publish, transmit, reproduce, link to or otherwise distribute any information, software, or other material obtained through the Sites or the Services, or any derivative work thereof, which is protected by copyright, or any other proprietary or intellectual property right, without obtaining permission of the copyright owner or right holder;
- impersonate or falsely represent the association of a User with any person, including a Kore78 representative or site moderator; and
- use, reproduce, sell, resell or otherwise exploit the Sites or any of the Services for any commercial purposes. If a third party requests that Kore78 remove content from the Sites that in any way represents or refers to that third party, Kore78 reserves the right to remove the content of that individual or group without any liability whatsoever.
Your Kore78 Account
Account registration and eligibility
You may browse the Site without registering for an account. However, you will be required to register for an Account to access or use certain features of the Platforms, including but not limited to the CBA administrative dashboard and transaction modules, HRKore employee and payroll modules, integration connectors (e.g., bank APIs, payment or payroll processors), administrative controls, data export and reporting, and any trial, demo or paid subscription functionality. Account registration requires you to provide certain information that personally identifies you (the "Account Information") as set out in these Terms and our Privacy Notice.
You must be at least 18 years old or have reached the age of majority in the jurisdiction in which you reside to use the Site and Services and by creating an Account, you attest that you have reached the age of majority and have the legal capacity to be legally bound by these Terms.
Your account username and password are personal to you.
You agree to:
- Provide accurate and up-to-date information.
- Maintain the confidentiality of your login details and use secure practices (e.g., strong passwords, two-factor authentication where available).
- Be responsible for all activities under your account.
- Notify us immediately of any unauthorised access or if you suspect any unauthorised use of your account, compromise of credentials, or other security breach.
- Log out after each session when using public or shared devices and follow any security guidance Kore78 provides.
All Account Information collected during Account Registration are governed by our Privacy Notice.
Updating Account Information
You are responsible for maintaining the accuracy of the information associated with your account. You can update your account information through your account settings or by contacting Kore78 support.
Deletion of Account
You may delete your account at any time by following the account deletion process outlined in your account settings or by contacting Kore78 support.
Upon deletion, your access to the Services will be terminated, and all associated data will be removed in accordance with our Privacy Notice.
Termination and Suspension
Kore78 reserves the right to suspend or terminate accounts that do not comply with these Terms and Conditions or any applicable laws and regulations.
Accounts found to be used for fraudulent, illegal, or unauthorised purposes may be immediately suspended or terminated without prior notice.
Account Security
Customers must ensure only authorized Administrators are granted administrative privileges. Kore78 is not liable for actions performed by Customer-appointed Administrators. You are responsible for keeping your login credentials confidential and secure. You must not share your account or password with others or use anyone else's account. You are solely responsible for any activity that occurs under your account, including unauthorised activity resulting from your failure to secure your login details or device.
You agree to:
- Immediately notify Kore78 of any unauthorised access or suspected breach.
- Log out of your account at the end of each session.
- Cooperate with any security investigations or account verification.
We may require you to change your login credentials or suspend your account if we believe your account is compromised or if your username violates another user's rights. We also reserve the right to refuse registration or deny access to the Site at our discretion.
Pay Services
Certain features of the Kore78 Platforms, including access to our Core Banking Application (CBA) and Human Resource Management Suite (HRKore), are offered on a paid subscription or usage basis ("Pay Services"). By subscribing to or using any Pay Service, you agree to pay all applicable charges, including subscription fees, implementation or integration fees, service-level or support fees, and any applicable taxes, as set out in the relevant order form, subscription plan, or pricing page (collectively, the "Fees").
Unless otherwise stated in your order form or service agreement, all Fees are due and payable in advance of the applicable subscription period, are billed in the currency specified in your order, and are non-refundable except where required by law or expressly stated in writing by Kore78.
Kore78 reserves the right to modify its Fees, billing frequency, or pricing structure at any time. Where such changes affect active subscriptions, Kore78 will provide notice via email, the administrative dashboard, or the Site at least thirty (30) days before the new Fees take effect. Continued use of the Pay Services after the effective date of a price change constitutes acceptance of the revised Fees.
By subscribing to a Pay Service, you represent and warrant that:
- You are of legal age and have full authority to enter into binding agreements in your jurisdiction;
- All payment or billing information you provide is accurate, complete, and valid; and
- You are the authorized account holder or cardholder for any payment method used.
Some Pay Services or related functionalities (for example, payment processing, payroll disbursement, or identity verification) may be provided or facilitated through independent third-party service providers such as financial institutions, payment processors, or KYC verification companies. Your use of such services is subject to their own terms, policies, and applicable fees, in addition to these Terms. Kore78 is not responsible for any acts, omissions, errors, or policies of such third parties.
By using any third-party–integrated service through Kore78's Platforms, you agree to comply with all applicable third-party terms and bear any associated charges, delays, data-sharing requirements, or liabilities arising from your use of their services.
Kore78 may, at its discretion, require additional verification, documentation, or payment confirmation before activating or continuing any Pay Service. Kore78 reserves the right to suspend or terminate access to Pay Services for non-payment, chargebacks, or any activity deemed suspicious, fraudulent, or in violation of these Terms.
Acknowledgement
By using any Pay Service, you acknowledge and agree that:
- Your use is governed by these Terms, including disclaimers, limitations of liability, and acceptable use provisions, as well as any additional terms specific to the relevant Pay Service.
- You are solely responsible for all activities, transactions, and actions that occur through your Pay Service account.
- Kore78 reserves the right to suspend or terminate your access to any Pay Service at its sole discretion, especially if we believe your use violates these Terms or presents legal, financial, or reputational risks.
- Termination or suspension may occur without prior notice and does not affect any other rights or remedies Kore78 may pursue, including legal or injunctive relief.
Dealing with Third Parties
The Site may contain links to third-party websites or services that are not owned or controlled by Kore78. These external sites are managed by independent individuals, companies, or organisations. Kore78 does not endorse, monitor, or guarantee the accuracy, relevance, timeliness, or completeness of any information available on such third-party websites.
Any use of third-party links or content is at your own risk. We encourage you to independently evaluate the content and terms of any third-party service before engaging with it.
Kore78 does not control these sites and is not responsible for their content, policies, or practices. The presence of a link does not imply endorsement, recommendation, or affiliation unless expressly stated.
Any transactions, communications, or relationships between you and third parties including advertisers, merchants, or payment providers, are solely between you and that third party. This includes all associated terms, payments, and deliveries.
Kore78 bears no responsibility for:
- Any charges, fees, or losses you may incur when interacting with third-party services;
- Any legal or regulatory compliance related to those interactions;
- Any damages or claims arising from such dealings.
You agree that Kore78 shall not be liable for any loss or damage resulting from your use of, or reliance on, any third-party site or service linked through the Site.
Exclusion of Warranty
THE SITES, AND THE CONTENTS THEREIN AND/OR THE CONTENT PROVIDED BY KORE78, ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, QUIET ENJOYMENT, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. KORE78 IS NOT RESPONSIBLE FOR (A) THE ACCURACY OF ANY CONTENT ON THE SITES, OR (B) FOR DAMAGES OR LOSS CAUSED BY THE INTERNET, ERRORS OF THE SITES, OR CONTENT ON THE SITE. KORE78 DOES NOT EXERCISE CONTROL OVER ANY THIRD PARTIES THAT PROVIDE CONTENT TO THE SITES AND THEREFORE PROVIDES NO REPRESENTATIONS AND WARRANTIES REGARDING SAME. FURTHERMORE, USERS EXPRESSLY UNDERSTAND AND AGREE THAT KORE78 MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SITES OR ANY OF THE SERVICES, INCLUDING ANY CONTENT, INFORMATION, PRODUCTS OR SERVICES OBTAINED FROM OR THROUGH THE USE OF THE SITES OR THE SERVICES, WILL BE PROVIDED ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS OR THAT SUCH SERVICES OR THE RESULTS DERIVED THEREFROM WILL MEET USERS' REQUIREMENTS OR EXPECTATIONS.
Limitation of Liability
To the maximum extent permitted by law, Kore78 and its directors, officers, shareholders, affiliates, subsidiary companies, employees, and agents shall not be liable for any direct, indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation, damages for loss of business, profits, revenue, goodwill, data, service interruptions, downtime, litigation, or other intangible losses arising out of or in connection with:
- your use of, or inability to use, the Site or Services;
- any content made available through the Site;
- any third-party websites or services linked to from the Site;
- goods or services provided by third parties through the Site;
- any reliance on information or content provided via the Site;
- any malfunction, error, or interruption in access to the Site or Services;
- any other interaction or engagement you have through the Kore78 platform.
This limitation applies whether the claim arises in contract, tort (including negligence), product liability, or any other legal theory, even if Kore78 has been advised of the possibility of such damages. Kore78 does not guarantee continuous, secure, or error-free access to the Site. From time to time, the Site may be unavailable due to scheduled maintenance, technical issues, or causes beyond our control.
If, notwithstanding the foregoing, Kore78 is found liable for any loss or damage connected to your use of the Site or Services, our aggregate liability shall not exceed the total amount of fees you paid to Kore78, if any, in the six (6) months preceding the event giving rise to the claim.
Kore78 may, in its sole discretion and without notice, suspend or restrict access to any part of the Site. This clause applies to all claims, including those based on contract, negligence, or any other legal ground.
Indemnification
You are solely responsible for all activities that occur under your Kore78 account.
You agree to indemnify, defend, and hold harmless Kore78, its parent company, affiliates, subsidiaries, shareholders, directors, officers, employees, agents, and consultants from and against any third-party claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
- your use or misuse of the Services;
- your breach of these Terms or any applicable law;
- your violation of any third-party rights, including intellectual property, privacy, or contractual rights.
Kore78 may, at its discretion, use anonymized or illustrative examples of the Services (for example, demo dashboards or training materials) to promote the Site. If you prefer not to have your organization featured in such materials, you can request removal by contacting our support team.
Intellectual Property and Ownership
All content, features, and functionalities on the Site, including text, graphics, software, logos, icons, and images, are the property of Kore78, its licensors, affiliates, service providers, or third-party contributors, and are protected by copyright, trademark, patent, and other applicable intellectual property laws.
Except as expressly authorised in these Terms, nothing grants you any right, title, or interest in or to the Site or Services, including any Kore78 or third-party intellectual property, whether by implication, estoppel, waiver, or otherwise. All rights not expressly granted are reserved.
Restrictions on Use
You agree not to:
- Copy, reproduce, modify, republish, upload, post, transmit, sell, or distribute any part of the Site or Services without prior written permission from Kore78 or the applicable rights holder;
- Adapt, translate, decompile, disassemble, reverse engineer, or attempt to derive source code from any part of the platform;
- Alter or remove any proprietary notices or branding, including copyright or trademark symbols;
- Use any Kore78 trademarks, service marks, or logos without our prior written consent.
User-Submitted Content
By uploading or submitting content (e.g. event details, images, or branding materials), you represent and warrant that you own or have the necessary rights and permissions to use and distribute such content. You grant Kore78 a non-exclusive, royalty-free, perpetual license to use, reproduce, distribute, publicly display, and promote this content in connection with the Services, including for promotional or demo purposes. If you do not wish for your event content to be used in promotional materials or as a demo, you may contact us to request removal.
Third-Party Marks
All trademarks, logos, and service marks displayed on the Site are the property of Kore78 or their respective owners. Use of any third-party mark without permission from the owner is strictly prohibited.
Relationship
The relationship between Kore78 and the Users will be that of independent contractors, and neither of us nor any of our respective officers, agents or employees will be held or construed to be partners, joint ventures, fiduciaries, employees or agents of the other.
Force Majeure
Kore78 shall not be held liable or responsible for any delay or failure in performance of its obligations under these Terms resulting from causes beyond its reasonable control. These may include, but are not limited to, acts of God, natural disasters, floods, fires, earthquakes, war, terrorism, civil unrest, labour disputes, utility failures, internet or telecommunications outages, acts of government or regulatory authorities, epidemics, pandemics, or any other events or circumstances that are beyond the reasonable control of Kore78.
In such cases, Kore78's obligations shall be suspended for the duration of the event, and we shall not be held liable for any loss or damage resulting from such delay or failure.
Dispute Resolution
Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first seek to resolve the matter through mediation. Mediation shall be conducted in good faith, and the parties agree to cooperate fully in the process.
If the dispute is not resolved through mediation within 30 days from the date of notice of the dispute, either party may refer the matter to the courts of Nigeria, which shall have exclusive jurisdiction over such matters.
Dispute Between Users
You agree that you are solely responsible for your interactions with any other user in connection with the Service and Kore78 will have no liability or responsibility with respect thereto. Kore78 reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Service.
General
These Terms of Service constitute the entire agreement between you and Kore78 and govern your use of the Service, superseding any prior agreements between you and Kore78 with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software. The failure of Kore78 to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
